DeepChatBI Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", "you", or "your") and DeepChatBI Inc. ("DeepChatBI", "we", "us", or "our").

By accessing, registering for, or using the DeepChatBI platform, including our web applications, APIs, integrations, AI-powered features, analytics tools, attribution models, reports, dashboards, and related services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. Service Overview

1.1 Account Registration

To use the Services, you must create an account and provide accurate and complete information.

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

1.2 Authorized Users

Accounts may permit multiple authorized users depending on the applicable subscription plan.

Users may not share credentials with unauthorized individuals.

1.3 Service Modifications

DeepChatBI may modify, improve, suspend, or discontinue portions of the Services at any time.

We will use reasonable efforts to provide notice of material changes when practical.

2. Subscription and Billing

2.1 Paid Plans

Certain features require a paid subscription.

You agree to pay all fees associated with your selected subscription plan.

2.2 Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date.

2.3 No Partial Refunds

Except as required by law, subscription fees are non-refundable.

3. Acceptable Use

You agree not to:

  • Violate applicable laws or regulations
  • Access systems without authorization
  • Upload malicious code or harmful content
  • Reverse engineer or copy the Services
  • Circumvent usage limitations
  • Use the Services to infringe intellectual property rights
  • Resell, sublicense, or commercially exploit the Services without authorization

DeepChatBI reserves the right to suspend access for violations of this section.

4. Customer Data

4.1 Ownership

You retain ownership of all data submitted to the Services, including:

  • Commerce data
  • Advertising data
  • Analytics data
  • Customer data
  • Reports and dashboards

(collectively, "Customer Data")

4.2 License to Process

You grant DeepChatBI a limited, non-exclusive license to process Customer Data solely for:

  • providing the Services
  • maintaining platform functionality
  • troubleshooting and support
  • security monitoring
  • generating aggregated and anonymized platform analytics

4.3 Customer Responsibilities

You represent that:

  • you have all rights necessary to provide Customer Data
  • your use of the Services complies with applicable privacy laws
  • you have obtained any required permissions or consents

4.4 Data Retention

Following account termination, DeepChatBI may delete Customer Data after a reasonable retention period.

Customers are responsible for exporting any required data before account closure.

5. Privacy

Your use of the Services is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, process, store, and protect personal information.

Where required by applicable law, DeepChatBI acts as a data processor on behalf of customers with respect to Customer Data.

6. Third-Party Integrations

The Services may connect with third-party platforms, including but not limited to:

  • Shopify
  • Google Ads
  • Meta Ads
  • TikTok Ads
  • Google Analytics
  • Klaviyo

DeepChatBI does not control and is not responsible for:

  • third-party availability
  • third-party pricing
  • third-party API limitations
  • third-party data accuracy

Interruptions or inaccuracies originating from third-party systems do not constitute a breach of these Terms.

7. Analytics and Attribution Disclaimer

DeepChatBI provides analytics, attribution models, forecasting, profit calculations, recommendations, and related insights.

These outputs are estimates and analytical interpretations based on available data.

DeepChatBI does not guarantee:

  • advertising performance
  • revenue growth
  • profitability
  • return on ad spend (ROAS)
  • attribution accuracy
  • business outcomes

Customers acknowledge that attribution methodologies may differ from those used by advertising platforms or other analytics providers.

All business decisions remain solely the responsibility of the Customer.

8. AI Features Disclaimer

DeepChatBI may provide AI-generated analyses, recommendations, summaries, forecasts, alerts, and suggested actions.

AI-generated outputs:

  • may contain inaccuracies
  • may be incomplete
  • may be outdated
  • may not reflect all relevant business factors

Customers remain solely responsible for:

  • advertising decisions
  • campaign modifications
  • budget allocation
  • operational decisions
  • business outcomes

AI outputs are provided for informational purposes only and should be independently reviewed before implementation.

9. Beta and Experimental Features

Certain features may be designated as:

  • Beta
  • Preview
  • Experimental
  • Early Access

Beta Features are provided on an "AS IS" and "AS AVAILABLE" basis.

DeepChatBI makes no guarantees regarding:

  • availability
  • reliability
  • accuracy
  • performance of Beta Features

DeepChatBI may modify or discontinue Beta Features at any time without notice.

10. Security

DeepChatBI implements commercially reasonable technical and organizational safeguards designed to protect Customer Data.

However, no system can guarantee absolute security.

Customers acknowledge and accept the inherent risks associated with internet-based services.

11. Intellectual Property

Except for Customer Data, all rights, title, and interest in the Services remain the exclusive property of DeepChatBI and its licensors.

No rights are granted except those expressly stated in these Terms.

12. Suspension and Termination

DeepChatBI may suspend or terminate access to the Services if:

  • these Terms are violated
  • fraudulent activity is detected
  • security risks arise
  • required by law
  • non-payment occurs

Upon termination, your right to use the Services immediately ends.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPCHATBI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

DEEPCHATBI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • LOST PROFITS
  • LOST REVENUE
  • LOSS OF DATA
  • BUSINESS INTERRUPTION

DEEPCHATBI'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

(a) THE FEES PAID BY CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR

(b) USD $100

15. Indemnification

You agree to defend, indemnify, and hold harmless DeepChatBI from any claims arising out of:

  • your use of the Services
  • Customer Data
  • violation of these Terms
  • violation of applicable laws
  • infringement of third-party rights

16. Export Compliance

You agree not to use the Services in violation of U.S. export control laws or economic sanctions regulations.

17. Confidentiality

Each party agrees to protect confidential information received from the other party using reasonable care.

Confidential information does not include information that:

  • becomes publicly available
  • was already lawfully known
  • is independently developed
  • must be disclosed by law

18. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration conducted in English.

The arbitration shall be seated in Dallas, Texas, USA.

Each party waives any right to participate in class actions or class-wide arbitration proceedings.

19. Governing Law

These Terms shall be governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

20. Changes to Terms

DeepChatBI may update these Terms from time to time.

Material changes will be communicated through the website, email, or in-product notifications.

Continued use of the Services constitutes acceptance of the revised Terms.
